End-User License Agreement

Please read this End-User License Agreement ("Agreement") carefully before accessing or using ProjectionSmart^® ("Application" or "Service").

By clicking "I Agree," creating an account, accessing, or using the Service, you agree to be bound by the terms and conditions of this Agreement.

This Agreement is a legal agreement between you (either an individual or a business entity) and Millennium, Inc. and governs your use of ProjectionSmart.

If you do not agree to the terms of this Agreement, do not access or use the Service.

The Service is licensed, not sold, to you by Millennium, Inc. for use strictly in accordance with this Agreement.

License

Millennium, Inc. grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Service for your internal business purposes in accordance with the terms of this Agreement.

You agree that Millennium, Inc. may send you communications relating to your account, billing, service updates, security notifications, support matters, and other information necessary to provide the Service. Marketing communications may be sent in accordance with applicable law, and you may opt out of such communications at any time.

Restrictions

You agree not to, and will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service or make it available to any third party.

• Copy or use the Service for any purpose other than as permitted under this Agreement.

• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.

• Remove, alter, or obscure any proprietary notice of Millennium, Inc. or its licensors.

Intellectual Property

The Service, including all copyrights, patents, trademarks, trade secrets, software, reports, designs, and other intellectual property rights, remains the sole and exclusive property of Millennium, Inc.

Your Suggestions

Any feedback, comments, ideas, improvements, or suggestions you provide regarding the Service shall become the sole property of Millennium, Inc.

Millennium, Inc. may use, modify, publish, or redistribute such suggestions without compensation or attribution.

Modifications to Service

Millennium, Inc. reserves the right to modify, suspend, or discontinue the Service, temporarily or permanently, with or without notice.

Updates

Millennium, Inc. may provide enhancements, bug fixes, upgrades, and other modifications from time to time.

All updates shall be considered part of the Service and subject to this Agreement.

Third-Party Services

The Service may display, include, or make available third-party content, applications, products, services, or links to third-party websites.

Millennium, Inc. does not control and is not responsible for the availability, accuracy, legality, or operation of third-party services.

Your use of third-party services is entirely at your own risk and subject to the terms and conditions of those third parties.

QuickBooks Online Integration

ProjectionSmart may connect to QuickBooks Online and other third-party services in order to provide forecasting, budgeting, reporting, and related functionality.

You acknowledge that ProjectionSmart does not own or control QuickBooks Online or any other third-party service. The availability and operation of such services are subject to the terms, policies, and technical requirements established by their respective providers.

Millennium, Inc. shall not be liable for interruptions, API changes, service outages, changes in functionality, or discontinuation of any third-party service that may affect operation of the Service.

You are responsible for maintaining any subscriptions, permissions, or licenses required to access third-party services used with ProjectionSmart.

Payment for Services

You authorize Millennium, Inc. to charge your designated payment method for fees associated with your use of the Service.

You may cancel your subscription at any time. Upon cancellation, future recurring charges will cease.

Except where required by law or expressly stated otherwise by Millennium, Inc., subscription fees already paid are non-refundable.

ProjectionSmart may offer promotional discounts, trial periods, or coupon codes. Millennium, Inc. reserves the right to modify, revoke, or refuse any promotional offer where misuse, abuse, or error is suspected.

If you initiate a chargeback or payment dispute that is determined to be invalid, you agree to reimburse Millennium, Inc. for the disputed amount together with reasonable collection costs, attorneys' fees, and related expenses.

Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference.

By using the Service, you acknowledge that you have reviewed and agreed to the Privacy Policy.

Term and Termination

This Agreement remains in effect until terminated by either you or Millennium, Inc.

Millennium, Inc. may suspend or terminate your access to the Service at any time if you violate this Agreement or for any other lawful reason.

You may terminate this Agreement by discontinuing use of the Service and closing your account.

Termination does not limit any rights or remedies available to Millennium, Inc.

Indemnification

You agree to indemnify and hold harmless Millennium, Inc., its affiliates, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service;

• Your violation of this Agreement;

• Your violation of any law or third-party right.

No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILLENNIUM, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Millennium, Inc. does not warrant that:

• The Service will meet your requirements;

• The Service will be uninterrupted or error-free;

• Forecasts, projections, reports, or analyses generated by the Service will be accurate or suitable for any particular purpose;

• Any defects will be corrected.

ProjectionSmart is a decision-support tool and does not constitute accounting, tax, investment, legal, or financial advice.

Limitation of Liability

To the maximum extent permitted by law, Millennium, Inc.'s total liability arising from or related to the Service shall not exceed the amount paid by you to Millennium, Inc. during the twelve months preceding the claim.

In no event shall Millennium, Inc. be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business opportunities, loss of data, or business interruption.

Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

Export Compliance

You agree to comply with all applicable export laws and regulations of the United States and other applicable jurisdictions.

Amendments

Millennium, Inc. may modify this Agreement from time to time.

Material changes will be posted on the ProjectionSmart website. Continued use of the Service following such changes constitutes acceptance of the revised Agreement.

Governing Law

This Agreement shall be governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any dispute arising under this Agreement shall be subject to the jurisdiction of the courts located in Minnesota.

California Notice

California residents may contact ProjectionSmart Support regarding questions, complaints, or inquiries concerning the Service.

Entire Agreement

This Agreement constitutes the entire agreement between you and Millennium, Inc. regarding your use of the Service and supersedes all prior agreements relating to the Service.
